These terms define legal, commercial, delivery, and responsibility conditions for using this website and working with Avronux.

1. Acceptance Of Terms

These Terms and Conditions govern your access to the Avronux website and your engagement with Avronux services.

By using the website, submitting a form, or approving a quote, you acknowledge and agree to these terms.

2. Service Nature

Avronux provides professional services including data analysis, BI reporting, automation workflows, landing pages, internal tools, and business system setup.

Service scope for each project is defined in a proposal, statement of work, or approved written communication.

3. Discovery, Analysis, Quote, And Start

Our standard project initiation model is: discuss requirements, analyze current state, provide quote, and start execution.

Project timelines and milestones begin only after quote approval, advance payment (if applicable), and required access from the client.

4. Client Responsibilities

Clients are responsible for providing accurate information, required approvals, platform credentials, and timely feedback.

Delays in decisions, data sharing, or approvals may shift project timelines and delivery dates.

  • Provide complete business and technical requirements
  • Share valid access to data sources, hosting, and related platforms
  • Review deliverables within the agreed review windows
  • Pay invoices as per approved payment milestones

5. Commercial Terms And Invoicing

All fees, milestone schedules, taxes, and payment methods are defined in the approved quote or agreement.

Late payments may result in paused work, delayed delivery, or limited support until outstanding balances are cleared.

6. Change Requests And Scope Control

Any requirement beyond approved scope is treated as a change request and may require additional fees and timeline revision.

Avronux reserves the right to estimate and approve change effort before implementation.

7. Delivery, Acceptance, And Support

Deliverables are considered accepted when approved in writing or when no material objections are raised within the agreed review period.

Post-delivery support is limited to the term and scope explicitly included in your proposal or maintenance plan.

8. Intellectual Property

Upon full payment, ownership of finalized custom deliverables is transferred to the client unless otherwise stated.

Pre-existing frameworks, internal tools, templates, libraries, and third-party components remain subject to their original licenses and ownership.

9. Confidentiality

Both parties agree to protect confidential business, technical, and commercial information shared during the engagement.

Confidential data shall not be disclosed to unauthorized parties except where required by law or explicit written approval.

10. Third-Party Platforms

Projects may depend on third-party services such as cloud platforms, automation tools, analytics products, and external APIs.

Avronux is not liable for external outages, account suspensions, policy changes, or pricing changes introduced by third-party providers.

11. Service Suspension Or Termination

Either party may terminate an engagement under material breach, non-payment, unlawful use, or repeated non-cooperation.

In such cases, completed work and payment obligations up to the termination date remain enforceable.

12. Limitation Of Liability

To the maximum extent permitted by law, Avronux will not be liable for indirect, incidental, consequential, or special damages.

Total liability, if any, is limited to the amount paid by the client for the specific service giving rise to the claim.

13. Indemnity

You agree to indemnify and hold Avronux harmless against claims arising from unlawful use of deliverables, provided content, or client-side system misuse.

This includes third-party claims related to data rights, content rights, and misuse of deployed assets outside agreed scope.

14. Policy Revisions

We may update these Terms and Conditions from time to time. Updated terms become effective when published on this page.
